1. Welcome & What This Agreement Covers
This agreement is between REACHRIGHT Studios LLC ("we," "us," "REACHRIGHT") and you (the organization or individual subscribing to our services, also referred to as "Client"). When you sign up for any of our services, you're agreeing to these terms.
We've written this document in plain language on purpose. We believe you shouldn't need a law degree to understand the agreement you're entering into. That said, this is a legally binding contract, and we encourage you to read it carefully.
Our services. REACHRIGHT offers four services. You can subscribe to any combination:
- Web Subscription (website design, hosting, and maintenance)
- Local SEO Subscription (local search engine optimization)
- Google Grant Management Subscription (Google Ad Grant application and campaign management)
- Social Media Management Subscription (done-for-you church social media content and posting)
Each service has its own section below with specific terms, followed by General Terms that apply to everything.
2. Web Subscription
2.1 What You Get
We design and develop a professional website for your organization using the WordPress content management system. Your site will be responsive (meaning it works well on phones, tablets, and desktops) and hosted on our platform with ongoing maintenance and support.
2.2 Pricing

2.3 Website Design Options
Standard site. Your website is built on a professionally designed template and tailored to match your brand's colors, fonts, and imagery. You can upload and customize your own content. This is what's included in the base price.
Fully custom site. If you need something entirely custom, we're happy to provide a separate quote.
2.4 What's Not Included
Logo design. Our standard pricing does not include logo design. If you need a logo, we can create one as a separate project with its own estimate.
Photography. We provide access to a library of high-quality stock photos for your site. You're welcome to provide your own images in high-resolution digital format. The sooner we receive your photos, the smoother your site build will go.
2.5 Revisions
Your package includes one initial design concept and one round of revisions. Additional changes beyond that will be quoted separately.
2.6 WordPress & Technology
Your site runs on WordPress, which is an independent open-source platform. We keep your site updated with the latest WordPress releases, but we can't guarantee that WordPress itself will never change or that third-party plugins will always remain compatible. We'll do our best to keep things running smoothly.
2.7 Browser Compatibility
We test your site on the current versions of major desktop browsers (Chrome, Safari, Edge) and popular mobile browsers on both iOS and Android devices. If you need support for older or less common browsers, we can discuss that separately.
2.8 Support
What's included. As long as you're an active client with payments current, you receive ongoing technical support for your website, 24/7 site monitoring and backups, and complimentary training for one designated person at your organization who serves as our primary point of contact.
Support hours. Monday through Friday, 8:00 AM to 5:00 PM Central Time. Support outside these hours is available at $150/hour.
How to reach us. Email, online ticketing, and scheduled phone or video calls. Please note we don't provide support for third-party applications that we didn't install or manage.
3. Local SEO Subscription
3.1 What You Get
We manage your local search engine optimization to help people in your area find your organization online. This includes:
Google Business Profile optimization. We claim and optimize your listing with accurate location information, hours, contact details, photos (up to 5 optimized images per location), and any welcome video you provide.
Directory submissions. We submit your organization's name, address, and phone number (NAP) to 25+ online directories including Google, Facebook, Bing, Yelp, Apple Maps, Nextdoor, and many others.
Monthly citation management. We monitor and correct your listings across all directories each month, including suppressing duplicate listings.
Monthly reporting. You'll receive a monthly report covering local keyword rankings, user review updates with response recommendations, and a site audit with on-page optimization suggestions.
3.2 Pricing

3.3 What We Need From You
You'll need to provide us with admin access to your Google Business Profile, Apple Maps Connect, and Bing Places for Business accounts. You authorize us to make changes to these listings as needed to optimize your campaign.
3.4 What Happens If You Cancel
Your online profiles remain yours. However, once we stop managing and updating your directory listings, you should expect most of them to become inaccurate or disappear within a few months. This is standard across the industry — listings require ongoing management to stay active and correct.
If you'd like us to manage your account again after cancellation, a $400 reactivation fee applies to cover the work of reclaiming and re-optimizing your listings.
4. Google Grant Management Subscription
4.1 What You Get
We apply for and manage the Google Ad Grant on your behalf. The Google Ad Grant provides eligible nonprofits with up to $10,000/month in free Google Ads. Our service includes:
Grant application. We handle the entire application process on your behalf.
Campaign setup. We build your ad campaigns from scratch, including location targeting, device configuration, keyword research, competitive analysis, ad group structure, and negative keyword implementation.
Ad design. We write ads that pair relevant keywords with compelling calls-to-action, use dynamic keyword insertion where appropriate, and rotate multiple ads per ad group to find what performs best.
Monthly optimization. We continuously test and refine your campaigns, adding 10+ new keywords and 3+ new ads each month, split-testing ad performance, and providing monthly reporting on your campaign's progress.
4.2 Pricing

4.3 Important Things to Know
The grant and account belong to you. The Google Ads account and the grant itself are your property. We manage it on your behalf, but it's yours.
Don't add billing information. The Google Ad Grant provides free ad spend. You should not add your credit card or billing information to the Google Ads account. If you do, and Google charges you, that's not something we can be held responsible for.
Our management fee is flat-rate. Your monthly fee is for campaign management and optimization. It is not calculated based on actual ad spend.
90-day guarantee. If we are unable to secure your Google Ad Grant within 90 days of entering this agreement, we will refund all payments you've made for Grant Management Services upon your written request.
4.4 What Happens If You Cancel
Your Google Ads account remains yours. However, because our campaign structures and strategies represent our proprietary work product, we will remove the campaigns we built when our management ends. To remain eligible for the grant, you or a new manager will need to rebuild campaigns that meet Google's compliance requirements. If you'd like us to manage your account again after cancellation, a $400 reactivation fee applies.
5. Social Media Management Subscription
5.1 What You Get
We manage your church's social media on a done-for-you basis. Each plan posts on a fixed weekly schedule across Facebook and Instagram, using content we produce in your brand: short sermon-clip videos, designed graphics, carousels, and captions written in your church's voice. Every plan includes a monthly content calendar that you approve before anything is published, and every post we publish is also shared to your story.
Setup and profile optimization. Before posting begins, we complete a one-time setup that includes a brand kit, post templates, and a full optimization of your social media profiles (your bio, profile photo, and cover image) on each included channel.
You provide the source material and direction we need: access to your sermon recordings or video files, your branding and logos, your social media accounts, and a point of contact to approve the monthly calendar. We select the sermon moments and content themes we believe will perform best. You're always welcome to give us feedback that shapes future content, though we don't offer revisions on content already published.
5.2 Pricing

Included channels. Facebook and Instagram are included on every plan. Additional channels (TikTok or YouTube Shorts) are available for $100/month each.
Optional add-ons. Comment monitoring (we reply to comments and direct messages within 24 hours, up to 3 hours per month, then $65/hour) is available for $200/month. YouTube long-form, where we post and optimize your full weekly sermon, is available for $300/month.
Setup fee and billing. A one-time setup fee of $2,000 applies and is waived when you commit to 12 months (see Section 6.4). Billing is monthly, in advance, on the anniversary of your sign-up date. You choose your plan at sign-up.
No free trial. This subscription does not include a free trial.
5.3 Commitment & Cancellation
Social Media Management runs on a 12-month commitment, which is also how the $2,000 setup fee is waived (see Section 6.4). After the first 12 months, monthly plans continue on a month-to-month basis and either party can cancel with 30 days' written notice. Annual plans renew for another 12 months at the same rate unless you give written notice before the renewal date. We do not refund unused portions of a month or prepaid annual terms, except as described in Section 6.5.
What happens if you cancel. Your social media accounts and profiles always remain yours, and the content we have already published stays on your accounts. Because our content templates, brand kit, and strategy are our proprietary work product, we stop producing and scheduling new content when your subscription ends, and we remove our access to your accounts within 30 days.
5.4 Who Owns What
You confirm that you own or hold the rights to all source material you provide, including sermon recordings, logos, photos, and other brand assets. Once your payment for a given month clears, the finished posts we produced for that month are yours to keep and use. As described in the General Terms, we retain the right to reuse our underlying templates, design systems, and processes on other projects.
6. General Terms (Apply to All Services)
6.1 Your Responsibilities
Authority. You confirm that you have the authority to enter this agreement on behalf of your organization.
Cooperation. You agree to provide the information, materials, access, and feedback we need to do our work, in the formats and timeframes we reasonably request. Delays on your end may delay your project.
Content responsibility. You confirm that all text, images, and other content you provide is either yours or you have the necessary rights and permissions to use it. If a third party raises a copyright or intellectual property claim because of content you provided, that's your responsibility.
6.2 Our Responsibilities
Professional service. We will perform our services with reasonable professional skill and care. We bring our expertise to every project and will do our best to meet agreed-upon timelines.
Communication. We'll keep you informed about your project's progress and will be responsive to your questions and concerns during business hours.
6.3 Payments & Billing
How billing works. Your payment is charged automatically each month on the anniversary of your sign-up date. We require a credit card or bank account on file for automatic payments unless you arrange an alternative with us in advance.
Annual payment discount. You may pay annually instead of monthly. If you choose annual billing, you'll receive a discount equal to one month's subscription fee.
Late payments. If a payment is more than 15 days overdue, we'll pause work on your account. If a payment is more than 30 days overdue, we'll deactivate your subscription and associated accounts. Reactivation after deactivation requires a $400 reactivation fee.
Collection costs. If we need to engage a collection agency or attorney to recover overdue payments, you agree to pay all reasonable collection costs and attorney's fees.
6.4 The 12-Month Commitment (Web, Local SEO, Google Grant, Social Media Management)
Our Web, Local SEO, Google Grant Management, and Social Media Management services involve significant upfront work to set up. In recognition of that, we offer to waive the setup fee if you commit to at least 12 months of service. Here's how it works:
- If you stay for 12 months or longer, the setup fee is waived entirely.
- If you cancel before 12 months, the setup fee becomes due because the discount was contingent on that commitment.
- After the initial 12-month period, your service continues on a month-to-month basis. Either party can cancel with 30 days' written notice.

6.5 Refund Policy
We generally do not issue refunds for subscription fees (monthly or annual) or for services already rendered. If a situation arises where a refund is clearly the right thing to do — for example, if we failed to deliver a service you paid for — we'll refund the amount paid for the undelivered work. We'll handle these situations on a case-by-case basis in good faith.
6.6 How to Give Notice
Whenever this agreement requires "written notice" (including cancellations), you can send it by email to paperwork@reachrightstudios.com. We'll confirm receipt. Notice is considered given on the date we confirm receiving it, or 3 business days after sending, whichever is first.
6.7 Ownership & Intellectual Property
Your content stays yours. All text, images, data, and other materials you provide remain your property.
What you own from our work. Once your final payment clears, you own the visual elements, content, and files we created specifically for your project. For websites, this includes your site's content, images, and customizations.
What we retain. We retain the right to reuse our general design templates, development tools, processes, and techniques on other projects. We're not selling you our underlying toolkit — we're licensing you the specific work product we created for you. You receive a perpetual, exclusive license to use your completed project for your organization.
Portfolio rights. We'd love to show off what we built for you. Unless you tell us otherwise, we reserve the right to display your project in our portfolio, on social media, and in marketing materials. We'll also include a small, tasteful credit link at the bottom of your website, which is standard in our industry.
6.8 Website Portability (Web Subscription)
If you cancel your Web Subscription, we want the transition to be as smooth as possible. Upon request and within 30 days of cancellation, we'll provide you with a full export of your WordPress site files and database so you can migrate to another host. Your site will remain live for up to 30 days after your last payment to give you time to arrange a new hosting provider.
6.9 Confidentiality
Your information. We will treat all information and materials you provide as confidential. We won't share your data, financials, login credentials, or organizational information with third parties except as needed to provide our services (for example, submitting your information to online directories as part of Local SEO).
Our information. Our pricing structures, internal processes, campaign strategies, and proprietary tools are confidential. You agree not to share these with competitors or third parties.
6.10 Data Handling & Privacy
In the course of providing services, we may have access to login credentials, analytics data, and contact information related to your organization. We commit to using this information solely for the purpose of delivering our services, storing credentials securely and limiting access to team members who need it, returning or deleting your credentials and access upon termination of services (within 30 days of cancellation), and never selling, renting, or sharing your data with third parties for their own purposes.
If you handle personal data of your members or visitors (such as through your website), ensuring compliance with applicable privacy laws is your responsibility. We're happy to help implement technical measures where needed, but we are not responsible for your organization's data privacy compliance.
6.11 Warranty & Liability
What we promise. We promise to perform our services with reasonable professional skill and care. That's our warranty.
What we don't promise. Beyond that commitment, our services are provided "as is." We do not guarantee specific results — we can't promise a certain Google ranking, a specific number of website visitors, or a guaranteed grant amount. Digital marketing involves many variables outside our control. We disclaim all other warranties, express or implied, to the extent permitted by law.
Liability cap. If something goes wrong, our total liability to you for any and all claims related to our services is limited to the fees you've actually paid us in the 12 months preceding the claim. We are not liable for lost profits, lost data, or any indirect, incidental, or consequential damages, even if we've been told those damages might occur.
Third-party content. We are not responsible for the content, accuracy, or legality of information on websites we manage. If we publish content you provided, the accuracy and legality of that content is your responsibility.
6.12 Indemnification
Your indemnification of us. You agree to defend and hold harmless REACHRIGHT, its owners, employees, and contractors from any claims, losses, or legal fees arising from (a) content you provided that infringes on someone else's rights, (b) your use of the services in a way that violates applicable law, or (c) your breach of this agreement.
Our indemnification of you. We agree to defend and hold harmless your organization from any claims arising directly from our gross negligence or willful misconduct in delivering services under this agreement.
6.13 Dispute Resolution
We hope it never comes to this, but if a disagreement arises that we can't resolve by talking it through, here's the process:
- Step 1: Talk it out. Either party contacts the other in writing to describe the issue. We'll have 30 days to try to resolve it informally.
- Step 2: Mediation. If informal resolution doesn't work, both parties agree to attempt mediation before a mutually agreed-upon mediator.
- Step 3: Binding arbitration. If mediation fails, the dispute will be resolved through binding arbitration administered in Williamson County, Texas. Both parties waive the right to a jury trial or participation in a class action related to this agreement.
Governing law. This agreement is governed by the laws of the State of Texas, without regard to its conflict-of-law principles.
6.14 Force Majeure
Neither party is liable for delays or failures in performance caused by events beyond reasonable control, including natural disasters, internet or power outages, platform outages (such as Google or WordPress), pandemics, government actions, or acts of war. If such an event continues for more than 60 days, either party may terminate the affected services without penalty.
6.15 Final Provisions
Non-transferability. You can't transfer this agreement to another party without our written permission. We can't transfer it without yours.
Severability. If any part of this agreement is found to be unenforceable, the rest of it remains in full effect.
Entire agreement. This document, along with any service-specific proposals or amendments we've both signed, makes up the entire agreement between us. It supersedes any previous conversations, emails, or understandings.
Amendments. We may update these terms from time to time. We'll notify you of material changes at least 30 days before they take effect. Your continued use of our services after that notice period constitutes acceptance of the updated terms.
Survival. The sections on Ownership & Intellectual Property, Confidentiality, Warranty & Liability, Indemnification, and Dispute Resolution survive the termination of this agreement.
